Individual or representative advertising with ShopUSAds.com is hereby regarded as the "Advertiser(s)."

ShopUSAds.com, it's agents, employees, and associates are hereby regarded as "ShopUSAds.com."

Advertiser(s) hereby represents him/herself as an eligible representative of this business entity.

Advertising fee entitles Advertiser(s) to display information related to Advertiser's property, service or related business. Advertiser(s) is solely responsible to provide proper and legally eligible photos and information and to confirm posting of accurate information and related files. Advertisements and photos are reviewed and must meet proper standards and formats. ShopUSAds.com reserves the right to refuse service to any advertiser.

A no refund policy is applicable once the Advertiser(s) advertisement is received. (a) Business Advertiser(s) paid advertisements are valid for 1 year commencing on the date advertisement is posted on ShopUSAds.com's website.  (b) Individual Advertiser(s) advertisements are valid for 90 days, 7 days for FREE listings, unless otherwise noted.  If the email address provided in the ad is invalid, the ad will be immediately deleted from ShopUSAds.com's database and no refund will be given.  Only changes in the update ad pages are allowed.  Any other changes will result in the deletion of Ad.

ShopUSAds.com is not responsible for any outcome of business transactions, money transactions, email or results of viewing any content supplied to or from the ShopUSAds.com website or for the actions and outcome of responding person(s). ShopUSAds.com HIGHLY RECOMMENDS Advertiser(s) obtain referrals and binding agreements when doing business with any person(s).

ShopUSAds.com reserves the right to expand, change and redesign website to accomodate growth and expansion of advertiser base. Additional maps and links may be required to better direct viewers to paid advertisers and future features of the ShopUSAds.com website.

Advertiser(s) must go through ShopUSAds.com prior to any major change, not allowed on update ad pages, relevant to advertising information in order to avoid AD DELETION. 

Advertiser(s) may use the ShopUSAds.com web address to direct customers to this website. However, Advertiser(s) are not given permission to use any logo or related file of the ShopUSAds.com website as endorsement or represent themselves as employees or as being endorsed by ShopUSAds.com.

ShopUSAds.com reserves the right to refuse service to any business/person for justifiable reasons without refund. ShopUSAds.com may charge Advertiser(s) any additional costs required to collect fees. An annual interest charge of 18% will be applied to all unpaid balances.

Adult Material Restrictions

     ShopUSAds.com forbids advertisements with adult graphic content (softcore and/or hardcore), including, but not limited to, banners advertising any adult website(s), child pornography, and distribution of adult website passwords.  Advertiser(s) with any advertisements found in violation of this policy may, at the descretion of ShopUSAds.com, have all advertisements terminated without notice and are subject to a maximum $250 cleanup/removal fee.

Hate Material Restrictions

     Hatred messages including racism, sexism, or content promoting one particular race, sex, or nationality as superior and/or another race, sex, or nationality as inferior is unacceptable. Advertiser(s) with any advertisements found in violation of this policy may, at the discretion of ShopUSAds.com, have all advertisements terminated without notice and are subject to a maximum $250 cleanup/removal fee.

Illegal Activity Restrictions

     Advertiser(s) who promotes activities that violate federal, state, local laws and/or violation of U.S. export restrictions are also not welcome at ShopUSAds.com. This includes "warez" sites (freely distributing copyright programs), or sites promoting hacking and/or cracking programs. Advertiser(s) with any advertisements found in violation of this policy may, at the discretion of ShopUSAds.com, have all advertisements terminated without notice and are subject to a maximum $250 cleanup/removal fee. Additionally, ShopUSAds.com may contact the Software Piracy Association (SPA) and release any information in connection with any illegal activities relating to software piracy in advertisements.

Copyright Restrictions

     It is the responsibility of the Advertiser(s) to ensure that all information within their advertisement is their own work. Copyrighted materials include art, music and other works.  Advertiser(s) agree to indemnify ShopUSAds.com of any possible litigation involving trademark or copyrighted materials. The best rule to follow is not to copy work from someone else unless you have been granted permission to use these materials in your advertisements.

     Advertiser(s) warrants that it has the right to use the applicable trademarks, if any, and grants ShopUSAds.com the right to use such trademarks in connection with ShopUSAds.com's service. This includes the right granted by Advertiser(s) to ShopUSAds.com to advertise the Advertiser(s) in conjunction with ShopUSAds.com's service.

Limited Liability

     1. Advertiser(s) agrees that use of ShopUSAds.com's services is at Advertiser(s) sole risk. Neither, ShopUSAds.com, its employees, affiliates, agents, third party information providers or the like, warrant that ShopUSAds.com's service will not be interrupted or error free; nor do they make any warranty as to the results that may be obtained from the use of the service or as to the accuracy, reliability or content of any information service or merchandise contained in or provided through ShopUSAds.com, unless otherwise expressly stated in this Agreement.

     2. Under no circumstances, including negligence, shall ShopUSAds.com, its offices, agents or any one else involved in creating, producing or distributing ShopUSAds.com's service be liable for any direct, indirect, incidental, special or consequential damages that result from the use of or inability to use ShopUSAds.com's service; or that results from mistakes, omissions, interruptions, deletion of files, errors, defects, delays in operation, or transmission or any failure of performance, whether or not limited to acts of God, communication failure, theft, destruction or unauthorized access to ShopUSAds.com's records, programs, or services. Advertiser(s) hereby acknowledges that this paragraph shall apply to all content on ShopUSAds.com's website/service.

Indemnification

     Advertiser(s) agrees that it shall defend, indemnify, save and hold ShopUSAds.com harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorney's fees, ("Liabilities") asserted against ShopUSAds.com, its agents, its customers, resellers and employees, that may arise or result from any service provided or performed or agreed to be performed or any product sold by Advertiser(s), its agents, employees or assigns.  Advertiser(s) agrees to defend, indemnify and hold harmless ShopUSAds.com against Liabilities arising out of (i) any injury to person or property caused by any products sold or otherwise distributed in connection with ShopUSAds.com's service; (ii) any material supplied by Advertiser(s) infringing or allegedly infringing on the proprietary rights of a third party; (iii) copyright infringement and (iv) any defective product which Advertiser(s) sold using ShopUSAds.com's service.
